Introduction
Welcome to Padelkeeper, a professional padel court construction and equipment manufacturing company based in Guangdong, China. These Terms of Service ("Terms") govern your business relationship with Padelkeeper and the use of our professional services including court construction, racket manufacturing, and OEM/ODM operations for wholesale and retail clients globally.

1. Business Relationship & Eligibility
Our services are exclusively available to qualified business entities including wholesalers, retailers, and commercial organizations. Individual consumers are not eligible for direct purchases.
By engaging our services, you represent that you have the legal authority to enter into this agreement on behalf of your business entity and that your business is properly licensed and registered in your jurisdiction.
We primarily serve markets in Europe, the Middle East, and South America, with specialized solutions tailored to regional requirements and regulations.
2. Quality Standards & Compliance
All products manufactured by Padelkeeper comply with international certification standards. Our five specialized production lines are staffed by quality control personnel with minimum five years of experience.
Every product undergoes comprehensive testing before shipment, including material integrity, performance standards, and safety compliance checks.
We maintain detailed quality documentation and certificates of compliance that accompany all shipments for regulatory purposes.
3. Orders, Production & Delivery
Minimum Order Quantities: Professional services require minimum order quantities that vary by product category and customization requirements. Specific MOQs will be communicated during quotation.
Production Timeline: Standard production timelines range from 15-45 days depending on order complexity and customization requirements. Court construction projects require separate timeline agreements.
Delivery Terms: We offer various shipping terms including FOB, CIF, and DDP. International shipping arrangements and costs are determined based on destination and order specifications.
Custom Orders: OEM/ODM projects require detailed specifications, approved samples, and separate production agreements with extended timelines.
4. Payment Terms & Conditions
Payment Methods: We accept bank transfers (T/T), letters of credit (L/C), and other internationally recognized payment methods. Payment terms are established based on order value and client relationship.
Standard Terms: New clients typically require 30-50% deposit with balance due before shipment. Established clients may qualify for extended payment terms.
Currency: All transactions are conducted in USD unless otherwise agreed in writing.
Late Payment: Late payments may incur additional charges and may affect future order processing and credit terms.
5. Intellectual Property & Confidentiality
Design Rights: Custom designs, molds, and technical specifications developed for OEM/ODM projects remain the property of the commissioning client unless otherwise agreed.
Proprietary Technology: Padelkeeper's manufacturing processes, quality control methods, and technical expertise remain our exclusive intellectual property.
Confidentiality: Both parties agree to maintain strict confidentiality regarding technical specifications, pricing, and business arrangements.
Non-Competition: During active business relationships, clients agree not to engage directly with our suppliers or attempt to replicate our manufacturing processes.
6. Warranties & Liability
Product Warranty: We provide warranties against manufacturing defects for periods ranging from 6-24 months depending on product category and usage conditions.
Court Construction: Structural elements carry extended warranties with specific terms outlined in construction contracts.
Limitation of Liability: Our liability is limited to the replacement or repair of defective products. We are not liable for consequential damages, lost profits, or business interruption.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control including natural disasters, government actions, or supply chain disruptions.
7. International Trade & Compliance
Export Compliance: All exports comply with Chinese export regulations and international trade requirements. Clients are responsible for import compliance in their jurisdictions.
Documentation: We provide all necessary export documentation including commercial invoices, packing lists, certificates of origin, and quality certificates.
Customs & Duties: Clients are responsible for all import duties, taxes, and customs clearance in destination countries unless specifically agreed otherwise.
Restricted Destinations: We comply with all applicable trade sanctions and export restrictions. Orders to restricted destinations may be declined.
8. Dispute Resolution & Governing Law
Governing Law: These terms are governed by the laws of the People's Republic of China, specifically the jurisdiction of Guangdong Province.
Dispute Resolution: Disputes shall first be addressed through good faith negotiation. Unresolved disputes may be submitted to arbitration in accordance with China International Economic and Trade Arbitration Commission (CIETAC) rules.
Language: All legal proceedings shall be conducted in English with Chinese translation as required.
Jurisdiction: Courts of Guangdong Province shall have jurisdiction for any legal matters not resolved through arbitration.
9. Modifications & Updates
These Terms of Service may be updated periodically to reflect changes in our business practices, legal requirements, or industry standards. Significant changes will be communicated to existing clients with reasonable advance notice.
Continued engagement of our services after term modifications constitutes acceptance of updated terms.
Individual agreements may contain specific terms that supersede these general terms for particular projects or relationships.
